Item 1.01 | Entry into a Material Definitive Agreement. |
On October 31, 2019, Lantheus Medical Imaging, Inc. (LMI), the operating subsidiary of Lantheus Holdings, Inc. (the Company), entered into a Volume and Pricing Amendment (the Amendment) to the Sales Agreement by and between LMI and NTP Radioisotopes (SOC) Ltd. (NTP), dated as of April 1, 2009 and as amended as of January 1, 2010, April 1, 2011, October 1, 2012 and December 29, 2017 (the Agreement). Under the Agreement, NTP and its subcontractor, ANSTO, will supply LMI molybdenum-99 (Mo-99), the radioisotope used in the manufacture of LMIs TechneLite® generators. The Amendment amends LMIs volume purchase requirements, NTPs supply requirements and unit pricing. The Agreement allows for termination upon the occurrence of certain events, including, but not limited to, failure by NTP to provide LMIs required amount of Mo-99, material breach of any provision by either party, bankruptcy by either party and certain force majeure events. The term of the Agreement, as amended by the Amendment, expires on December 31, 2021.
The Company intends to request confidential treatment of certain portions of the Amendment, including the volume commitment levels and unit pricing terms, in connection with the filing of its Annual Report on Form 10-K for the fiscal year ended December 31, 2019.
